Terms & Conditions

2.1 Acceptance

These Terms & Conditions (“Terms”) form a binding agreement under the Indian Contract Act, 1872 between you and Biz Matrix. By accessing or using the Platform or paying for a Report you accept these Terms, the Privacy Policy, the Refund & Cancellation Policy, the Cookie Policy and the Legal & Professional Advisory Disclaimer. These are electronic records under the Information Technology Act, 2000 and need no physical or digital signature.

2.2 Nature of the service

Biz Matrix is a technology-driven, preliminary decision-support tool. It provides heuristic recommendations of business structures (Private Limited Company, LLP, One Person Company, Partnership, Sole Proprietorship and others), indicative checklists, tax scenarios and a FY 2026–27 compliance calendar based on the answers you provide.

Biz Matrix is not a law firm, chartered accountancy firm or company secretarial firm, and does not provide legal, tax, accounting or secretarial advice. See the disclaimer.

2.3 Eligibility

You represent that you:

• are at least 18 years old and competent to contract under Section 11 of the Indian Contract Act, 1872 (of the age of majority, of sound mind and not disqualified by law);
• if using the Platform for a business or on behalf of an entity, have authority to bind that person or entity;
• will provide accurate information.

Persons barred from contracting under Indian law must not use the Platform.

2.4 Account, payment and access

The basic assessment may be available free of charge. Full analysis and the downloadable Report are unlocked upon payment of a one-time fee, currently ₹49 (inclusive of applicable taxes), which may change prospectively.

Payments are processed through third-party gateways. You agree to the gateway’s terms. We are not responsible for gateway failures, but will assist as set out in the Refund Policy.

A verified purchase unlocks the full FY 2026-27 report content and PDF generation on the Platform. You can run a new assessment without another payment for this report edition. Access is remembered in your browser and can be restored using your private purchase access code.

2.5 Licence grant

Subject to these Terms, Biz Matrix grants you a limited, non-exclusive, non-transferable, revocable licence to use the Platform and the Report for your personal or internal business assessment purposes only.

2.6 Prohibited conduct

You shall not:

1. scrape, crawl, harvest, or use bots or automated means to extract content, questions, scoring outputs or data from the Platform;
2. reverse engineer, decompile, probe or attempt to derive the decision logic, weighting, scoring rules or source code of the Platform;
3. resell, sublicense, redistribute, publish or commercially exploit the Platform or any Report, or offer them as part of a paid service to third parties;
4. bypass or tamper with the payment or access-control mechanisms;
5. submit false, misleading or unlawful information, or impersonate another person;
6. introduce malware, overload the Platform or interfere with its security;
7. use the Platform in violation of any applicable law.

Breach may result in suspension, termination without refund and legal action.

2.7 Disclaimer of warranty

The Platform and Reports are provided “as is” and “as available”. To the fullest extent permitted by law, Biz Matrix disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, completeness, timeliness and non-infringement. In particular:

• Outputs are heuristic and based on the information you supply and on our understanding of law applicable for FY 2026–27;
• Laws, thresholds, forms, fees and procedures change frequently. Amendments by the Ministry of Corporate Affairs (MCA), CBDT, CBIC, GST Council, RBI, SEBI, state governments and other authorities may not be reflected immediately;
• State-level stamp duties, professional tax, shops & establishment rules, and activity-specific licences (for example FSSAI, RBI, SEBI, drug, import-export, or sectoral approvals) vary and must be independently verified;
• We do not warrant uninterrupted or error-free operation.

2.8 Limitation of liability

To the maximum extent permitted by law:

1. Biz Matrix, its proprietor, employees and partners shall not be liable for any direct, indirect, incidental, special, consequential or punitive loss, including regulatory penalties, fines, interest, loss of profit, business decisions, lost opportunity or loss of data, arising from use of or reliance on the Platform or a Report.
2. You are solely responsible for verifying outputs with a qualified Advocate, Chartered Accountant or Company Secretary before filing or acting.
3. Our aggregate liability for any claim shall not exceed the amount actually paid by you for the Report giving rise to the claim.
4. Nothing in these Terms excludes liability that cannot be excluded under law, or affects your non-waivable rights under the Consumer Protection Act, 2019.

2.9 Indemnity

You agree to indemnify and hold Biz Matrix harmless from claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, your unlawful use of the Platform, or infringement of third-party rights through your inputs.

2.10 Intellectual property

All rights in the Platform, including the scoring logic, decision rules, weightings, algorithms, questionnaire design, content, text, graphics, layouts, trademarks “Biz Matrix” and “Business Structure Intelligence”, and the underlying software, are owned by or licensed to Biz Matrix and protected. No rights are granted except the limited licence in section 2.5. Your inputs remain yours; you grant us a limited licence to process them to provide the service.

2.11 Third-party services and links

Payment gateways, hosting, email and government portals are independent of Biz Matrix. We are not responsible for their acts, omissions or availability.

2.12 Suspension and termination

We may suspend or terminate access at any time for breach, suspected fraud or legal requirement. Sections that by nature should survive (2.6–2.10 and 2.13–2.15) survive termination.

2.13 Force majeure

Biz Matrix is not liable for failure or delay caused by events beyond reasonable control, including natural disasters, government action, internet or power failures, gateway outages, or cyber attacks.

2.14 Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to any mandatory rights you have under consumer law, the courts at Maharashtra, India shall have exclusive jurisdiction. The parties shall first attempt to resolve disputes amicably through the Grievance Redressal process for at least 30 days.

2.15 General

These Terms are the entire agreement. If any part is unenforceable, the rest remains in effect. A failure to enforce a right is not a waiver. Only Biz Matrix may assign these Terms. Notices may be sent by email to the address you supplied or to nexifydigital03@gmail.com. We may amend these Terms by posting updated Terms with a revised effective date.
